What do you need to register a company?

Ownership

At least one shareholder

A private company can have up to 50 shareholders. Decide each person's allocation and whether a company will hold any shares.

Management

A resident director

At least one director must meet Singapore's local residency rules. Directors must be at least 18, legally eligible, and understand their responsibilities.

Appoint a company secretary within six months of incorporation. The secretary must ordinarily reside in Singapore, and a sole director cannot also be the company secretary.

How to register a company in Singapore: 8 steps

  1. Choose your company structure

    Confirm that a Pte Ltd fits your ownership and operating plans. Discuss shareholder roles, decision-making, and any planned investment before finalising the structure.

  2. Reserve your company name

    Choose a suitable name and identify the relevant Singapore Standard Industrial Classification (SSIC) activities. Apply through Bizfile and pay S$15. An approved name is reserved for 120 days.

    Arrange the resident director, confirm shareholders, and settle the registered office. Give each participant a clear list of the details and consents you need from them.

    Agree the share currency, share classes, allocations, and payment position. Choose a financial year end that works with your reporting cycle, and record these decisions together.

How long does incorporation take?

ACRA says most registrations are approved soon after payment. Complex cases may take up to 15 working days; referral-authority approval can take 14–60 days. Allow separate time for preparation and banking.
